1. Acceptance of Terms
By accessing and using the services provided by International Scale Limited ("Company," "we," "us," or "our"), you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.
2. Services Description
International Scale Limited provides global paid advertising and social media marketing services, including but not limited to:
- Facebook and Instagram advertising campaign management
- Google Ads and YouTube advertising services
- TikTok advertising campaign creation and optimization
- Taboola and native advertising management
- International market expansion through paid advertising
- Multi-platform advertising strategy and consulting
- Campaign analytics, reporting, and optimization
3. Client Obligations
As a client, you agree to:
- Provide accurate and complete information about your business and advertising goals
- Maintain the confidentiality of your account credentials and platform access
- Comply with all applicable laws, regulations, and advertising platform policies
- Provide necessary access to your advertising accounts, analytics, and business manager
- Pay all fees in accordance with the agreed-upon payment terms
- Provide timely feedback, approvals, and responses when required
- Ensure your products, services, and advertising comply with all applicable laws
- Maintain adequate advertising budgets as agreed in service contracts
4. Payment Terms
Payment terms will be specified in individual service agreements. Generally:
- Service fees are due as specified in your service agreement (typically monthly in advance)
- Late payments may result in suspension of services after 15 days
- Advertising spend paid to platforms (Facebook, Google, TikTok, Taboola) is separate from our service fees
- Refunds are subject to the terms in our Refund Policy
- You are responsible for all platform advertising costs and fees
- Currency for payments will be specified in your service agreement
- Pricing is subject to change with 30 days written notice
5. Intellectual Property
All strategies, methodologies, proprietary tools, and materials created by International Scale Limited remain our intellectual property unless otherwise agreed in writing. Upon full payment, clients receive:
- A license to use ad creatives and campaign materials for their intended purpose
- Ownership of their advertising accounts on all platforms
- Access to campaign data, analytics, and performance reports
- Rights to continue using implemented strategies after service ends
You retain ownership of your brand, trademarks, products, and customer data at all times.
6. Advertising Performance and Results
While we strive to deliver exceptional results and have a proven track record:
- We do not guarantee specific revenue increases, ROAS, conversion rates, or results
- Advertising performance depends on multiple factors including product quality, market conditions, competition, seasonality, platform algorithm changes, and budget allocation
- Past performance, case studies, and testimonials do not guarantee future results
- Results may vary based on your industry, target market, budget, and business model
- We provide realistic projections based on data, industry benchmarks, and our experience
- Platform policy changes, account suspensions, or restrictions are beyond our control
7. Platform Policies and Compliance
Clients must ensure their advertising complies with:
- Facebook/Meta Advertising Policies and Community Standards
- Google Ads Policies and YouTube Community Guidelines
- TikTok Advertising Policies and Community Guidelines
- Taboola Advertising Policies and Content Guidelines
- All applicable advertising laws and regulations in target markets
- Truth in advertising standards and consumer protection laws
- Data protection regulations (GDPR, CCPA, PDPO, etc.)
We are not responsible for account suspensions, ad disapprovals, or policy violations resulting from your products, services, or business practices.
8. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of the business relationship. This includes:
- Business strategies, financial data, and performance metrics
- Advertising strategies, targeting parameters, and optimization techniques
- Customer data, audience insights, and analytics
- Any information marked as confidential or reasonably considered sensitive
Confidentiality obligations survive the termination of our service agreement.
9. Service Term and Termination
Either party may terminate services with written notice as specified in the service agreement. Upon termination:
- Client remains responsible for all fees incurred through the termination date
- We will provide final campaign reports and performance data
- You retain full ownership of advertising accounts and all customer data
- All confidentiality obligations continue after termination
- Access to our proprietary tools and platforms will end on the termination date
Immediate Termination Rights
We reserve the right to terminate services immediately without refund if:
- Payment is not received within 15 days of the due date
- Client violates platform policies or terms of service
- Client provides false or fraudulent information
- Client engages in prohibited, illegal, or unethical business activities
- Client violates these Terms of Service
- Advertising accounts are suspended due to client policy violations
10. Limitation of Liability
To the fullest extent permitted by law:
- Our total liability is limited to the service fees paid in the preceding 12 months
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not responsible for platform outages, policy changes, algorithm updates, or account suspensions
- Clients are responsible for compliance with all advertising regulations and laws
- We are not liable for loss of revenue, profits, business opportunities, or data
- We are not responsible for third-party platform services, tools, or changes
- We are not liable for advertising spend on platforms, which is paid directly by clients
11. Indemnification
You agree to indemnify and hold International Scale Limited harmless from any claims, damages, or expenses arising from:
- Your use of our advertising services
- Violation of these Terms of Service or platform policies
- Infringement of third-party intellectual property rights
- Your products, services, advertising content, or business practices
- Content, claims, or representations you provide for advertising campaigns
- Your violation of any laws, regulations, or consumer protection standards
12. Data and Analytics
When providing our advertising services:
- You grant us access to necessary advertising accounts, analytics, and business data
- We may use anonymized, aggregated data for industry research and benchmarking
- You retain ownership of all your customer and business data
- We implement appropriate security measures to protect your data
- Upon service termination, we will delete or return your data as requested
- We comply with all applicable data protection regulations
13. Third-Party Platforms
Our services involve advertising on third-party platforms. We are not responsible for:
- The availability, functionality, or policies of Facebook, Google, TikTok, Taboola, or other platforms
- Platform fee changes, policy updates, or algorithm modifications
- Platform outages, technical issues, or service disruptions
- Account suspensions, ad disapprovals, or policy violations
- Data practices or security of third-party platforms
14. International Operations
As a Hong Kong-based company providing global advertising services:
- Services may be provided from Hong Kong or other international locations
- Contracts are governed by Hong Kong law unless otherwise specified
- Currency, payment methods, and tax obligations will be specified in service agreements
- We comply with international advertising regulations and best practices
- Clients are responsible for compliance with local laws in their target markets
15. Warranties and Disclaimers
Our services are provided "as is" and "as available." We disclaim all warranties, express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of uninterrupted or error-free service
- Warranties regarding specific results, ROAS, or performance outcomes
- Warranties regarding platform availability or policy stability
We make every effort to provide high-quality advertising services but cannot guarantee perfection or specific results in all circumstances.
16. Dispute Resolution
Any disputes arising from these Terms will be resolved through:
- Good Faith Negotiation: Direct communication between parties to resolve the issue
- Mediation: If negotiation fails, binding mediation in Hong Kong
- Arbitration: If mediation fails, binding arbitration under Hong Kong law
- Governing Law: Laws of Hong Kong Special Administrative Region
- Venue: Disputes must be brought in Hong Kong courts
17. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Your continued use of our services constitutes acceptance of modified terms.
However, changes will not affect existing service agreements unless both parties agree to amended terms in writing.
18. Force Majeure
We are not liable for failure to perform services due to circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, pandemics, or acts of God
- Government actions, regulations, or restrictions
- Internet outages or infrastructure failures
- Platform changes, outages, or third-party service disruptions
- War, terrorism, or civil unrest
19. Severability
If any provision of these Terms is found to be unenforceable or invalid under Hong Kong law or applicable jurisdiction, the remaining provisions will continue in full force and effect.
20. Entire Agreement
These Terms of Service, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and International Scale Limited regarding our advertising services.
